2. Projects and Scope of Work

through a proposal, quotation, scope of work, invoice, contract, or other written
agreement between Webimage Digital LLC and the client.
Any services requested outside the originally agreed scope may require additional fees,
additional time, and client approval.
3. Proposals and Pricing

Unless otherwise specified, quotations and proposals apply only to the services and
deliverables expressly described in those documents.
4. Payments
Clients agree to pay all applicable fees according to the payment schedule specified in the
applicable proposal, invoice, or service agreement.
Depending on the project, Webimage Digital LLC may require an initial deposit, milestone
payments, recurring payments, or full payment before final delivery.
We may use third-party banks, payment processors, and financial service providers to
receive and process business payments.
5. Client Responsibilities
Clients are responsible for providing accurate and timely information, content, materials,
credentials, feedback, and approvals necessary for their projects.
Project timelines may be extended if there are delays in providing required materials,
approvals, feedback, or payments.
The client represents that they have all necessary rights and permissions to use and
provide any content, trademarks, images, documents, or other materials supplied to
Webimage Digital LLC.
6. Revisions and Additional Work
Revisions included within the original project scope will be completed in accordance with
the applicable contract or project agreement.
Requests that materially change the originally agreed scope, functionality, design,
content, or deliverables may be considered additional work and may result in additional
fees or changes to the delivery timeline.
7. Intellectual Property
Unless otherwise agreed in writing, ownership or usage rights for final deliverables
developed specifically for the client will be transferred or licensed in accordance with the
applicable project agreement after all outstanding amounts have been paid in full.
Webimage Digital LLC retains ownership of its pre-existing intellectual property, internal
tools, methodologies, processes, frameworks, reusable code, technical knowledge,
concepts, and materials that were not created exclusively for the client.
Third-party software, plugins, fonts, stock images, APIs, platforms, and other third-party
materials remain subject to their respective licenses and terms.
8. Third-Party Services
Our work may involve third-party platforms and services, including hosting providers,
domain registrars, content management systems, plugins, APIs, analytics tools,
advertising platforms, and payment services.
Webimage Digital LLC is not responsible for outages, policy or pricing changes, service
interruptions, or other issues caused by third-party providers.
9. Project Cancellation
Cancellation terms and any applicable refunds will be determined by the relevant
proposal, invoice, contract, or service agreement.
Work already completed and third-party expenses already incurred may remain payable
following cancellation.
10. Results and Performance
Webimage Digital LLC is committed to providing professional digital solutions. However,
digital services are influenced by various factors beyond our control.
Unless expressly guaranteed in writing, we do not guarantee specific levels of website
traffic, search engine rankings, advertising performance, lead generation, sales, revenue,
conversions, or other business results.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Webimage Digital LLC will not be
liable for indirect, incidental, special, consequential, or punitive damages arising from the
use of our website or professional services.
Any liability relating to a specific client engagement will also be subject to the applicable
service agreement and applicable law.
12. Acceptable Use
Our website and services may not be used for illegal, fraudulent, abusive, malicious, or
unauthorized activities.
Clients are responsible for ensuring that their projects, content, products, and business
activities comply with applicable laws and third-party rights.
13. Governing Law

regard to its conflict of law principles.
